Purple Style Labs IPO: Date, price, lot size, everything you need to know 

Purple Style Labs is a multi-brand luxury omni channel fashion platform that operates under the Pernia's Pop-Up Shop, or PPUS, brand. The platform curates womenswear, menswear, jewellery, accessories and kids wear from Indian designer brands, with a focus on wedding and occasion wear.  Purple Style Labs is launching a ₹680 crore IPO, which is entirely a fresh issue with no offer for sale. The company proposes to invest ₹371.13 crore in wholly-owned subsidiary PSL Retail towards lease liabilities of experience centres and back-end offices in India. It will also spend ₹138.90 crore on sales and marketing, with the balance going to general corporate purposes. 

The business runs through 14 experience centres globally, of which 12 are in India and one each is in London and New York, alongside its website, mobile application, telephonic and digital sales channels, events and exhibitions. It served customers across approximately 100 countries in Fiscal 2026.

Purple Style Labs IPO details 

Since the entire issue is a fresh issue, all proceeds after issue expenses will go to the company rather than to selling shareholders. The issue is being made under Regulation 6(2) of the SEBI ICDR Regulations, which is why at least 75% of the issue is reserved for QIBs and the retail portion is capped at 10%.

 About Purple Style Labs 

Purple Style Labs was incorporated in August 2015 and acquired the Pernia's pop-up shop platform, which it has since built into an omni channel luxury retail network. The company positions itself as a bridge between Indian designer brands and a global customer base, giving designers visibility and distribution without requiring them to build their own retail networks. 

The company operates large format experience centres ranging from 20,000 to 60,000 square feet in Mumbai, Delhi, Hyderabad and New York, located in high street retail catchments. In Fiscal 2026, the average order value at Indian experience centres was ₹90,651.48, about 2.34 times the ₹38,753.35 recorded on Indian online channels, which is the core reason the company continues to add physical. 

Total PPUS gross merchandise value was ₹721.56 crore in Fiscal 2026, with an average order value of ₹75,504.88 across 95,565 orders from 66,713 customers. International markets contributed 20.29% of total PPUS GMV, with the United States at 10.65% and the United Kingdom at 5.58%. The online platform recorded 19.14 million unique visitors during Fiscal 2026. Purple Style Labs is led by promoter, whole-time director and chief executive officer Abhishek Agarwal, and had 1,266 permanent employees as of March 31, 2026.

 Revenue from operations increased to ₹557.80 crore in FY26 from ₹489.90 crore in FY25, after declining in FY25 from ₹504.40 crore in FY24. The FY25 dip followed a deliberate strategy of pruning lower value designer brands and products in favour of more premium ones, which lifted average order value even as order volumes fell to 95,565 in FY26 from 1,36,622 in FY24. 

Net loss widened to ₹285.40 crore in FY26 from ₹188.40 crore in FY25 and ₹47.70 crore in FY24. The FY26 loss includes an exceptional employee share-based payment charge of ₹117.93 crore, a rise in depreciation and amortisation to ₹100.75 crore and an increase in finance costs to ₹97.09 crore, both linked to the large format experience centre rollout. Several of these centres were not operational for the full year, so their revenue did not offset the cost base. 

Cash flow from operations was negative in all three years, at ₹34.90 crore in FY26, ₹45.20 crore in FY25 and ₹31.30 crore in FY24. The company notes that operating profit before working capital changes stayed positive at ₹38.81 crore in FY26, with the cash drain arising from security deposits, accumulated GST input credit and higher inventory tied to new stores.

Gross profit margin narrowed to 37.54% in FY26 from 42.06% in FY25, while EBITDA margin fell to 5.44% from 8.57%. EBITDA of ₹30.37 crore in FY26 was lower than FY25 despite higher revenue, because store level and support costs grew faster than sales. EBIT was negative at ₹70.38 crore, so return on capital employed worsened to -23.56%. 

 Return on equity, return on capital employed and EBIT are all negative in FY26, and the reason sits below the EBITDA line rather than in the operating business itself. Purple Style Labs generated positive EBITDA of ₹30.37 crore in FY26, but depreciation and amortisation rose 84.42% to ₹100.75 crore, largely on right of use assets created by the leased large format experience centres. That single charge pushed EBIT to negative ₹70.38 crore, which is why return on capital employed, calculated as EBIT divided by capital employed, worsened to -23.56% in FY26 from -4.75% in FY25. 

The same amortisation load, combined with finance costs of ₹97.09 crore and an exceptional employee share based payment charge of ₹117.93 crore, drove the FY26 net loss and eroded the equity base. Net worth turned negative at ₹52.28 crore, against ₹117.50 crore in FY25, following accumulated losses of ₹710.29 crore, which is why return on equity is not reportable for FY26 at all. 

On working capital, receivables are negligible at ₹3.19 crore, or 0.57% of revenue, which works out to debtor days of about 2.10 and an asset turnover of roughly 0.67 times on total assets of ₹829.60 crore. The pressure sits in inventory and deposits rather than collections, which is why the cash conversion cycle stretched to 105.26 days in FY26 from 69.09 days in FY24, even though it improved from 123.57 days in FY25.

At the upper price band of ₹575, the post-issue market capitalisation works out to ₹4,639.63 crore, against a pre-issue market capitalisation of ₹3,924 crore.

Enterprise value is computed as post-issue market capitalisation plus net debt of ₹355.83 crore as of March 31, 2026, being total borrowings of ₹371.40 crore less cash and cash equivalents of ₹15.57 crore. 

As the company is in losses, price-to-earnings cannot be used and price-to-sales becomes the relevant anchor. At 8.32 times FY26 revenue and 164.49 times FY26 EBITDA, the issue is priced on the promise of scale and premiumisation rather than on current profitability.  

In comparison to its peers, the company states in the RHP that there are no other companies in India or globally of similar size, scale and business model that are listed, and it therefore does not provide any peer group comparative ratios. This absence of a directly comparable listed peer is itself listed as a risk factor, since investors have no like-for-like benchmark to test issue’s pricing against. The nearest listed comparisons available are smaller SME textile and fashion retail issues, which differ materially in size, business model and customer profile and are not a meaningful valuation reference. 

Sector and market context 

India's luxury market was valued at ₹1,49,900 crore in FY26, having grown at a compound annual rate of 13.50% from ₹69,900 crore in FY20, and is projected to reach ₹2,57,000 crore by FY31 at a compound annual rate of 11%. Growth is being supported by rising income levels, changing aspirations among middle- and upper-income households and a shift towards experience led premium purchases. 

Wedding and occasion wear is one of the largest and most resilient categories within this market, but it remains highly unorganised, with regional brands, standalone designer stores and local retailers holding much of the demand. Organised omni channel platforms are gaining share as e commerce adoption rises, digital trial and customisation tools improve, and demand emerges from tier 2 and tier 3 cities as well as from the Indian diaspora abroad. 

At the same time, luxury retail of this kind is capital intensive. High street lease commitments, store fit outs, inventory breadth and styling led service models require sustained investment well before stores reach maturity, and demand is discretionary and sensitive to sentiment. 

Key considerations for investors 

Strengths 

  • Purple Style Labs is positioned as one of the largest and fastest growing multi brand luxury omni-channel fashion platforms in India by revenue, with a wide portfolio spanning womenswear, menswear, jewellery, accessories and kids wear.
  • The company has an extensive network of designer relationships, covering 1,109 active designer brands, which the company describes as difficult for new entrants to replicate and therefore a barrier to entry.
  • Omni channel model of an entity integrates the online platform with physical experience centres, allowing customers to browse online, visit a store to try products and receive personalised styling and alterations, with prices kept consistent across channels.
  • Purple Style Labs has an inventory approach focused on breadth rather than depth, supported by a back ordering model where customers pay upfront and products are procured subsequently, which limits inventory holding costs.
  • The company operates with robust international presence, serving customers in approximately 100 countries with flagship experience centres in London and New York, addressing a scarcity of stores outside India that stock a comprehensive range of Indian luxury and occasion wear.

Risks 

  • The company has incurred losses in each of the last three years and had negative retained earnings of ₹710.29 crore as of March 31, 2026. It also had negative operating cash flows in all three years preceding the IPO, and there is no assurance that losses will not continue.
  • Entity has revenue concentration in womenswear, which accounted for 77.70% of total PPUS GMV in FY26, and the business is concentrated on Indian wedding and occasion wear, making it vulnerable to shifts in consumer preference.
  • Company’s business is depend on its top designer brands, with the top 10 contributing 30.24% of total PPUS GMV in FY26. Designer brands are owned and marketed by the designers themselves, so any loss of key brands or damage to their reputation directly affects the platform.
  • Experience centres of the Purple Style Labs contribute the largest share of GMV, and all of these premises are leased or licensed. Failure to renew leases on competitive terms, or delays in new store performance, would affect operations.
  • Purple Style Labs’s products are manufactured by designer brands rather than the company, so quality lapses, delays or customisation errors sit outside direct manufacturing control while the customer relationship remains with the platform.
  • Finance costs and indebtedness have risen, and an inability to obtain further financing or meet obligations, including under debentures and lease liabilities, could constrain the expansion plan.
  • International operations contributed 20.29% of total PPUS GMV in FY26 and expose the business to foreign exchange movements, local regulations, trade policy changes and tariffs. The company has already recognised an impairment on its investment in its United Kingdom subsidiary. 

Opportunities

Conclsuion

Purple Style Labs is asking the market to fund a land grab in Indian luxury occasion wear. The strategic logic is coherent. It aggregates a fragmented designer base, gives those designers distribution they cannot build alone, and captures the customer relationship at both ends through stores and a digital platform. The asset light sourcing model, where designers manufacture and a portion of orders are back ordered against upfront payment, is genuinely differentiated from conventional retail, and the designer network is the hardest part of the business for a new entrant to copy. 

The tension in this IPO lies in how that model is being scaled. The company has chosen large format high street stores as its primary growth engine, which converts an otherwise asset light platform into a business carrying heavy fixed lease commitments, long store maturity curves and upfront deposits. That is precisely why the entire fresh issue is directed at lease liabilities and marketing rather than at debt reduction or capacity.  

Two structural features deserve close attention. First, the equity base has been eroded by accumulated losses, which removes the cushion available to absorb a slower ramp up and leaves the company dependent on this issue and on future funding. Second, the absence of any comparable listed peer means there is no market tested benchmark for the multiple being sought, so the price rests entirely on the company's own trajectory and on how the market chooses to value platform led luxury retail in India.
