Convening of the 32nd Annual General Meeting (AGM) of the Company on Wednesday 23rd September 2026; 2. The Notice of 32nd Annual General Meeting (AGM) of the Company; 3. Appointment of Mrs. Rashida Hatim Adenwala Practicing Company Secretary to act as Scrutinizer at the ensuing AGM; 4. Change in Designation of Mr. Srikrishna Naik (DIN: 01730236) from Managing Director to Director (Non-Executive & Non-Independent) of the Company; 5. Change in Designation of Mrs. Meena Bhushan Kerur (DIN: 02454919) from Director (Non-Executive & Non-Independent) to Managing Director of the Company; 6. Reconstitution of the Audit Committee Nomination & Remuneration Committee and the Stakeholders Relationship Committee.

We wish to inform your esteemed organization that based on the recommendation of the Nomination and Remuneration Committee the Board of Directors of the Company at its meeting held on 20th August 2026 considered and approved the change in designation of Mr. Srikrishna Naik from Managing Director to Director (Non-Executive and Non-Independent) of the Company w.e.f. 20th August 2026.

We wish to inform your esteemed organization that based on the recommendation of Nomination and Remuneration Committee the Board of Directors of the Company at its meeting held on 20th August 2026 have considered and approved subject to approval of members of the Company at the ensuing general meeting the change in designation of Mrs. Meena Bhushan Kerur from Director (Non-Executive & Non-Independent) to Managing Director of the Company for a period of 5 years with effect from 20th August 2026.

Pursuant to Regulation 30 read with other applicable provisions if any of the SEBI LODR Regulations 2015 and in light of the change in designation(s) of Mr. Srikrishna Naik and Mrs. Meena Bhushan Kerur the Board of Directors of the Company at its meeting held on 20th August 2026 have reconstituted the Audit Committee Nomination and Remuneration Committee and the Stakeholder Relationship Committee.
