Please be informed that there is a delay in the acquisition of the remaining equity stake in the target company beyond the originally indicated timeline. This delay is on account of a disagreement between the parties on the computation of the consideration payable to the selling shareholders as determined in the SPA and the interpretation of certain clauses of the SPA on determining the consideration payable. The parties are currently in discussion to determine the consideration payable in accordance with the SPA framework.
